Summary

This proposal requests approval to stand up GoodDAO 2.0’s first expert execution body and implement the mechanism that will oversee the DAO’s treasury. This proposal seeks to expand GoodDAO’s capital allocation function by approving a Treasury Committee: an expert-led body that will steward GoodDAO’s treasury while remaining accountable to the wider community.

This proposal:

  • Explains how this mechanism follows from the CoGov redesign

  • Introduces the Treasury Committee, including its function, structure, and evaluation framework for the first term

  • Outlines the proposed changes and next steps, including the search for the committee’s founding members

This proposal authorizes the formation of the Treasury Committee, which will be responsible for the development of the committee’s mandate and first community-approved DAO budget. This proposal does not yet authorize the committee to move, spend, or deploy treasury funds. Any use of treasury funds will require separate approval by GoodDAO.

Background & Motivation

GoodDollar’s Governance Re-Vision began with a primary objective: to build a new system that supports the growth of a sustainable economy on top of GoodDollar. The community-driven collaborative governance redesign process, CoGov, led to the new vision of GoodDAO as a network of impact capital allocators, as well as the first instantiation of that vision in the Good Labs-funded pilot of the House of Alignment — the chamber of mission-aligned projects charged with contributing to the growth of the GoodDollar economy. The Treasury Committee is an extension of the community’s desire to collectively manage and allocate capital in order to build a new, inclusive economic system.

During CoGov, the community also raised several governance design principles and structural considerations that directly impacted the decision to stand up a Treasury Committee, including:

  • Inclusive participation for idea generation, combined with expert-driven execution led by dedicated autonomous teams

  • Hybrid approaches that match decision-making authority to context and expertise

  • Mechanisms that promote transparency and accountability

The DAO treasury has historically been custodied and managed by the Good Labs Foundation, while its only previous use has been to fund community moderator grants with money donated by Good Labs. Part of the objective is, therefore, to formally activate the DAO treasury and establish a dedicated structure for managing and growing it. To achieve this goal, there is a need for greater operational and strategic support, which the CoGov contributions recognize, while retaining an accountability layer that remains distributed among the wider community.

Execution

Vision

Incorporating the insights from CoGov, this proposal puts forth the idea of forming a Treasury Committee as the next evolution of decentralizing GoodDAO’s capital allocation function. The committee will be a collection of individuals who provide the expertise and continuity required to effectively manage a community treasury and responsibly steward the DAO’s financial position. The committee’s primary focus will be to ensure the sustainability of the treasury through strategic funding initiatives, asset diversification, yield optimization, and other strategies that bring money back into the DAO.

Role & Responsibilities

As GoodDAO’s financial steward and first expert-driven execution body, the Treasury Committee will be charged with devising strategies that increase the amount of funds under its management, as well as autonomously implementing those strategies. This role will include the following responsibilities:

  • Manage the DAO’s budget and financial planning

  • Submit quarterly budget requests for community approval to fund operations and strategic initiatives

  • Own and execute the DAO’s asset management framework, including asset ​diversification​ and yield strategies, and risk management practices

  • Submit quarterly financial reports to evaluate performance and remain accountable to the community

  • Conduct regular meetings (at least once every other week) with meeting notes and recordings made available to the community for transparency

A dedicated sub-category on the forum will be created and dedicated to the updates and reports issued by the Treasury Committee.

Separation of Powers

Should the implementation of a Treasury Committee be approved, control over each source of funding will be distributed across stakeholders bodies as follows:

  • Protocol: emissions from the GoodDollar Reserve (90% to UBI, 10% to the DAO)

  • Treasury Committee: DAO treasury funds

  • Good Labs Foundation: separate budget funded by corporate donations

Further, this proposal seeks to establish the following separation of powers and control parameters for the DAO Treasury itself:

However, it should be noted that this proposal does not yet authorize the Treasury Committee to spend or reallocate any treasury funds. The committee’s first quarterly budget will require further DAO approval.

Expected Outcomes

As no funds from the DAO treasury will yet be approved for spending or otherwise allocating, there will be limited available data on the impact of the committee’s first iteration, so the success of the committee in the first quarter will center on two deliverables:

1. First budget proposal

The committee will be expected to issue a formal proposal for the first quarterly budget from which they can begin funding initiatives and allocating money from the DAO treasury. The budget should propose an initial asset management strategy that could include yield-earning strategies and asset diversification mechanisms. The proposal should explain how the funds will be managed, how the strategy aligns with the GoodDollar ecosystem, expectations regarding performance or impact, and any relevant metrics that emerge from the initiatives, and will be put up for approval by the DAO. If passed, the budget would then be able to be autonomously spent and allocated by the committee, with any requests for more budget needing to be put to a full DAO vote.

2. Treasury Committee Mandate

The committee will be expected to draft and publish a Treasury Committee Mandate that will enable the committee to make asset allocation decisions autonomously moving forward. At a minimum, the mandate should govern the following:

  • Committee’s purpose and key objectives

  • Authority delegated to the members by the DAO, including autonomous execution boundaries (i.e. spending caps, community vote requirements, multisig spending thresholds etc.)

  • Powers reserved for DAO governance

  • Spending and approval processes, including an initial risk management framework

  • Reporting processes

  • Performance evaluation and accountability framework, including member selection processes and grounds for removal

Other than these two deliverables, other operational aspects for evaluation of the committee’s first term include whether there have been regular meetings (at least 2 per month) and whether all meetings have public notes. The members of the first Treasury Committee will also be expected to evaluate the program and help the community decide if there should be an extension.

Structure & Member Selection

This proposal seeks to approve the Treasury Committee for an initial term of 3 months. To start, the committee will be 3 people, one of which will be a member from Good Labs. For the other two members, we will be looking for people who bring:

  • Experience in business planning, asset management (particular in DeFi-native strategies), and/or financial reporting

  • A track record of accountable, transparent financial stewardship

  • Alignment with the GoodDollar mission

For this initial iteration, the other two members will be recruited and appointed by Good Labs through an open and transparent selection process. This consideration is to ensure the pilot runs smoothly and with maximum alignment with GoodDollar’s mission. In the future, it is a primary objective to have Treasury Committee members selected and appointed by the wider community through periodic elections, with the DAO designing and approving what any future election and rotation process looks like.

Conclusion & Next Steps

This proposal puts forth the idea of forming a Treasury Committee, GoodDAO’s first expert execution body, so that treasury stewardship becomes both more decentralized and more competent as more value begins to flow through community-driven allocation. This is a first important step in activating a treasury that has historically been under the custody of Good Labs and gradually distributing management responsibility and decision making power to the DAO.

Concretely, approval of this proposal authorizes Good Labs to establish the Treasury Committee and bring on its founding members through a formal recruitment process. In order to fill the two open positions, Good Labs will put out official postings, with more details to come after approval. The Treasury Committee will start operating once the 3 members are identified and announced.

Support for GIP-28 with clarifying questions

Active in Web3 DAOs (CBOWCRYPTEX, Nave DAO, and other onchain projects), I support GIP-28 for standing up the GoodDAO Treasury Committee.

Professional treasury management with clear expertise makes sense for sustainable capital allocation, risk management, and growing the GoodDollar economy while expanding UBI impact. Decentralizing this function thoughtfully is a strong step for GoodDAO 2.0.

A few clarifying questions:

1. How will committee members be selected and what will the initial term lengths be?

2. What specific accountability mechanisms (reporting cadence, performance KPIs, community removal process) are planned?

3. Will the committee have spending limits or require community approval for larger allocations?

4. How will transparency be ensured (e.g., on-chain tracking, public dashboards)?

  1. Initial committee members will be selected for an initial term of 3 months through a formal recruiting process led by GoodLabs. However, it is our intention to decentralize this process moving forward and have committee members selected through community voting in the future.
  2. The committee will be required to furnish quarterly financial reports. However, since funds will not yet be allocated during the initial first term, the committee will be evaluated against their delivery of the two primary deliverables outlined above. Further, the committee will be required to meet at least once every two weeks with minutes published on the forum for transparency.
  3. This is something that will be deliberated and formalized in the committee’s mandate during the first term.
  4. To start, the meeting minutes will be the primary mechanism to ensure transparency since treasury funds will not yet be spent. Moving forward, we will design additional mechanisms ensuring transparency around funds management once treasury allocations become live.

I INTENTIONALLY WAITED UNTIL THE VOTING HAD ENDED BEFORE MAKING THIS REFLECTION.

This vote leaves several lessons that, in my opinion, some people should analyze with greater humility.

For months, we have been told that whales are the problem with governance. Yet, when this proposal was on the verge of failing due to a lack of quorum, it was precisely two major delegates who ultimately carried it across the finish line.

So, are whales only a problem when they don’t vote the way the Foundation wants, but suddenly become an example of good governance when they save a proposal?

That double standard is no longer convincing.

SAM Mc, since you arrived, much of your energy has been directed toward attacking those who have historically supported this governance system. Your one person = one vote proposal was built on the premise that long-term token holders were the obstacle, when this vote demonstrates exactly the opposite.

The real problem is not the large delegates.

The real problem is that the community does not participate.

And when the community does not participate, you end up depending on the very people you have spent so much time criticizing.

There is another issue that also deserves a conversation.

To the person who has long believed that spreading activity across dozens of wallets guarantees anonymity or creates the illusion of broader participation, I only have one thing to say:

I have been following those patterns for a long time. Wallets are not invisible. Neither are behavioral patterns.

I sincerely hope those addresses are not being used with the knowledge or approval of someone within the Foundation to manufacture an artificial narrative of participation or to justify certain positions within governance.

If that were the case, it would be far more serious than the existence of any whale.

Because a whale has always voted through a single identity.

The difference is enormous.

You still believe that this mass of small addresses will give you influence in the future.

Today you may think you control the narrative.

I wouldn’t be so sure.

Blockchain has a memory.

And patterns eventually reveal themselves.

When the right time comes, it will be up to the community itself to decide what to do with that information.

Finally, we keep talking about reforming governance while the most important question remains unanswered:

What is the future of the GOOD token?

There is a desire to redesign the entire protocol architecture, create new governance structures, and change the way decisions are made, yet there is still no clear public definition of the economic utility of the main asset that has sustained this DAO for years.

Perhaps that should be the real priority.

Because a community is not rebuilt by turning against those who have supported it.

It is rebuilt by restoring trust, defining the value of GOOD, and stopping the use of different narratives depending on the outcome of a vote.

Thanks again for your engagement, however this was a space to discuss the Treasury Committee proposal - its merits, strengths, and opportunities for improvement.

As the voting is now closed and the proposal has been approved, we will be moving forward with onboarding the first committee members.

We are very excited to begin decentralizing control over the treasury, and putting it to use for the benefit of the GoodDollar ecosystem!

I hope the next step is bringing the same clarity to the future of the GOOD token.

Hopefully, this marks the beginning of a new chapter one where we rebuild bridges, move beyond divisions, and recognize that the historical holders are also part of GoodDollar’s history and its future. A united community will always be stronger than a divided one.
